3. Orders

3.1 Placing Orders

• Orders can be placed through our website by registered users only.
• You must be 18 years or older, reachable by telephone, and have a valid email address to place an order.
• All orders are subject to availability and acceptance. By placing an order, you make an offer to purchase the selected Products under these Terms.
• OccaStore Limited may refuse or reduce your order at our discretion. Once submitted, orders are binding and cannot be cancelled or amended.
• Product images, colours, and sizes displayed on the website may differ from the actual product.

3.2 Shelf Life Requirements

• Any minimum remaining shelf-life requirement must be explicitly agreed in writing prior to order acceptance.
• Where no specific shelf-life requirement is agreed, Products will be supplied in line with standard UK trade practice.
• Products supplied within date and fit for purpose at dispatch shall be deemed acceptable.
• Any reference to expiry dates or remaining shelf life is provided for information only and does not constitute a guarantee of onward resale, acceptance, or sell-through.

3.3 Batch Allocation

• OccaStore reserves the right to allocate Products by batch, expiry date, or warehouse location unless specific batch requirements are agreed in writing prior to dispatch.

3.4 Pricing

• Prices are displayed in GBP and exclude VAT unless otherwise stated.
• We reserve the right to change prices at any time without notice.

3.5 Payment

• Payment must be made at the time of order via the methods provided.
• Payments must be made in the currency indicated on your invoice.
• If paying by credit or debit card, you must provide valid card details. We will not dispatch Products until payment is authorised.
• We may request additional documentation to verify cardholder identity.

3.6 Order Confirmation

• You will receive an email confirmation once your order is placed.
• Acceptance of your order is confirmed only when we dispatch the goods.

3.7 Retention of Title

• Title to the Products shall not pass to the Customer until OccaStore has received payment in full (including VAT and any delivery charges) for the Products.
• Until title passes, the Customer must store the Products safely and in a way that clearly identifies them as belonging to OccaStore.

3.8 Debt Collection

• Unless otherwise agreed in writing beforehand, all invoices must be paid within the agreed payment terms.
• If an invoice remains unpaid and becomes more than 60 days overdue, we reserve the right to instruct third-party debt collection agencies to recover the outstanding balance without further notice.
• Any costs incurred in the recovery of the overdue balance, including but not limited to legal fees and collection agency charges, will be added to the outstanding amount.

4. Delivery

4.1 Delivery Times

• Estimated delivery times are provided at checkout and may vary based on location and stock availability.

4.2 Delivery Charges

• Delivery charges are calculated and displayed at checkout.

4.3 Risk of Loss

• Risk of loss or damage passes to the Customer upon delivery.

4.4 Inspection and Acceptance

• The Customer must inspect Products on delivery.
• Any shortages, damage, or non-conformance must be notified in writing within 48 hours of delivery.
• Failure to notify within this period shall constitute acceptance of the Products.
• If the Customer is aware of an issue at the time of delivery but accepts, uses, distributes, or resells the Products, the Customer waives any right to claim for that issue.

4.5 Courier Handling

• Where delivery issues arise due to third-party courier handling, OccaStore will support resolution.
• Such issues do not constitute fault where Products were correctly packed and dispatched.

5. Returns and Refunds

5.1 Trade Returns

• Trade orders are non-returnable unless Products are faulty, damaged in transit, or supplied incorrectly.
• Returns will not be accepted due to shelf-life preference, downstream customer requirements, slow sell-through, or changes in commercial circumstances.

5.2 Return Authorisation

• No return will be accepted without prior written authorisation from OccaStore.
• Authorised returns must be delivered within the agreed return window.

5.3 Return Logistics

• Where a return is authorised, return transport must be arranged by the Customer at their own cost unless otherwise agreed in writing.
• Returned Products must be unopened, unused, in resaleable condition, and in original packaging unless otherwise agreed in writing.
• OccaStore reserves the right to refuse returns that arrive damaged due to inadequate packaging or handling during return transit.

5.4 Restocking and Handling Fees

• Where a return is authorised (including as a goodwill gesture), OccaStore may apply a reasonable restocking or handling fee and may deduct original delivery charges where applicable.
• Any such fees or deductions will be confirmed in writing at the time the return is authorised.

5.5 Goodwill Allowances

• Any credit, return, or allowance granted outside these terms is provided strictly as a goodwill gesture.
• Such gestures do not constitute an admission of fault, liability, or waiver of OccaStore’s rights and do not set a precedent.

5.6 Consumer Returns (Website Purchases)

• Products can be returned within 14 days of delivery.
• Items must be unopened, unused, and in original packaging.
• Some items may be non-returnable due to hygiene or safety concerns.

5.7 Refunds

• Refunds are processed within 14 days of receiving returned items.
• Shipping costs are non-refundable unless the return is due to our error.

6. Downstream Customers and Commercial Risk

OccaStore accepts no liability for a Customer’s downstream customer requirements, internal policies, resale criteria, penalties, delistings, loss of sales, loss of profit, or third-party acceptance rules unless expressly agreed in writing prior to order acceptance.

7. Product Use, Storage, and Misrepresentation

• The Customer is responsible for storing, handling, and distributing Products in accordance with manufacturer guidance and applicable laws and regulations.
• OccaStore is not liable for defects or issues caused by improper storage, mishandling, misuse, alteration, repackaging, relabelling, or tampering by the Customer or any third party.
• The Customer must not remove or alter batch codes, expiry dates, safety warnings, instructions, or any product labelling.
• The Customer must not make unapproved or misleading claims when marketing or reselling Products and is responsible for ensuring all claims and listings comply with applicable laws and platform rules.

8. User Accounts

8.1 Account Registration

• Registration is required to place orders.
• You agree to provide accurate and complete information.

8.2 Account Security

• You are responsible for keeping your account credentials secure.
• Notify us immediately of any unauthorised access or breach.

9. Intellectual Property

10. Limitation of Liability

OccaStore shall not be liable for any delay or failure to perform any obligation where such delay or failure is caused by events beyond OccaStore’s reasonable control, including (without limitation) supplier or manufacturer disruption, carrier or courier delays, industrial action, power outages, IT outages, customs delays, regulatory changes, severe weather, or acts of government.

12. Refusal of Supply

OccaStore reserves the right to refuse future orders or impose additional conditions where repeated disputes, non-standard requirements, chargebacks, late payment, or increased commercial risk arise.
